RealGemzz.com (hereafter described as "RealGemzz" "Us" "Our" "We") provides the following terms and conditions for users/referrers.
By using the Site's services through the Site, you agree to these Terms of Use (defined below) and any additional terms applicable to certain programs or features in which you may elect to participate. The Privacy Statement, together with these terms of use and any other terms contained herein or incorporated herein by reference, are collectively referred to as the "Terms of Use." The term "using" also includes any person or entity that accesses or uses the Site with crawlers, robots, data mining or extraction tools or any other functionality.
By signing up as a merchant of RealGemzz or using the RealGemzz site, you agree to be legally bound by these conditions. Please read these terms carefully. RealGemzz may change these terms at anytime by updating this posting. You agree that you will regularly visit the Terms of Use (defined below) to familiarize yourself with any updates.

The registration at RealGemzz.com is free of charge.
The Site, any content on the Site and the infrastructure used to provide the Site are proprietary to us, our affiliates, our third-party brands and other content providers. By using the Site and accepting these Terms of Use: (a) RealGemzz grants you a limited, personal, nontransferable, nonexclusive, revocable license to use the Site pursuant to these Terms of Use and to any additional terms and policies set forth by RealGemzz; and (b) you agree not to reproduce, distribute, create derivative works from, publicly display, publicly perform, license, sell or re-sell any content, software, products or services obtained from or through the Site without the express permission of RealGemzz.
As a condition of your use of the Site, you agree that:
- You are at least 18 years of age;
- You are able to create a binding legal obligation;
- You have a physical address in Canada;
- You are not barred from receiving products or services under applicable law;
- You will not attempt to use the Site with crawlers, robots, data mining or extraction tools or any other functionality;
- Your use of the Site will at all times comply with these Terms of Use;
- You have the right to provide any and all information you submit to the Site, the information and all such information is accurate, true, current and complete;
- You will update and correct information you have submitted to the Site and ensure that it is accurate at all times (out-of-date information will invalidate your account)
By sending out a referral via RealGemzz you confirm that you know the referred person.
To avoid spam, every user is limited to 10 referrals/day
For a referral to be “successful” and eligible for cash point, the referred person MUST use the specified service and conduct a purchase,

The rewards are specified by the participating businesses. You can see the particular rewards on the profile pages of the merchant. The merchant can change these at any point in time at his sole discretion.
If there are no rewards specified for a business, shown on the RealGemzz platform, RealGemzz may at its own discretion, reward successful referrals with cash points.
Upon accumulating a minimum rewarded balance of $25.00 in your account, you may request payment of your account. The payment request must be for at least $25.00 (the "Payment Request Minimum") and equal the entire amount in your account at the time of your request. You must then accumulate another minimum balance of $25.00 before becoming eligible for your next payment. Typically, payments are distributed within two (2) weeks of request but may take up to sixty (60) days. It is your responsibility to ensure that at the time you request a payment that all of your account information is accurate and up to date.
Although your account will indicate a dollar balance, you shall only have a contractual right to payment, not a property right. At no time shall you be entitled to payment from your account unless and until you have met or surpassed the Payment Request Minimum.
You will be solely responsible for all applicable federal, state/provincial, withholding and/or local taxes, and for any other government fees or costs, associated with the rewards you earn from RealGemzz.
All amounts are shown in Canadian Dollars.
RealGemzz acts as intermediary platform between the business and the referrer. If the referred business doesn't credit or reward a successful referral with the announced reward, RealGemzz is not legally obligated to reimburse the referrer. In the case of a successful referral, which has not been rewarded after 4 weeks (28 days), RealGemzz advises the referrer to either contact the merchant directly or file a claim at the "Resolution Center".
You are solely responsible for the privacy of the information used to login to your account and RealGemzz is not responsible in any way for misuse of your account or for rewards being granted to the wrong person due to illegal access to your account by individuals using your login information.
RealGemzz retains the right, at our sole discretion, to deny service or use of the Site or an account to anyone at any time and for any reason. While we use reasonable efforts to keep the Site and your account accessible, the Site and/or your account may be unavailable from time to time. You understand and agree that there may be interruptions in service or events, Site access or access to your account due to circumstances both within our control (e.g., routine maintenance) and outside of our control.
We reserve the right at all times to discontinue or modify any part of these Terms of Use in our sole discretion. If we make changes that affect your use of the Site or our services we will post notice of the change on the Terms of Use page. Any changes to these Terms of Use will be effective upon our posting of the notice; provided that these changes will not apply to Offers redeemed prior to the effective date of such changes. If you do not agree to the changes, you may close your account without penalty and you should not use the Site or any services offered through the Site after the effective date of the changes.
We suggest that you revisit our Terms of Use regularly to ensure that you stay informed of any changes. You agree that posting notice of any changes to the Terms of Use on the Terms of Use page is adequate notice to advise you of changes and that your continued use of the Site or our services will constitute acceptance of the changes.
You may only create and hold one account on the Site for your personal use. You are responsible for updating and correcting information you have submitted to create or maintain your account. You understand and agree that RealGemzz shall have no responsibility for any incident arising out of, or related to, your account settings. You must safeguard your password and supervise the use of your account. You are solely responsible for maintaining the security of your account and maintaining settings that reflect your preferences. We will assume that anyone using the Site or transacting through your account is you. You agree that you are solely responsible for any activity that occurs under your account.
Your account is non-transferrable. You cannot sell, combine or otherwise share it with any other person. Any violation of these Terms of Use, including but not limited to failure to maintain updated and correct information about your account, will cause your account to fall out of good standing and as a result, we may cancel your account in our sole discretion. If RealGemzz cancels your account, you may forfeit any pending, current or future balance. Upon termination, the provisions of these Terms of Use that are by their nature intended to survive termination (e.g., any disclaimers, all limitations of liability and all indemnities) shall survive. We also reserve the right to change or discontinue any aspect or feature of our services or the Site, including, but not limited to, requirements for use.
If an account has been deactivated for more than 6 months or inactive for more than 12 months, RealGemzz has the right to delete it, which forfeits the possibility to withdraw any remaining funds.
All interactions on the Site must comply with these Terms of Use. To the extent your conduct, in our sole discretion, restricts or inhibits any other user from using or enjoying any part of the Site, we may limit your privileges on the Site and seek other remedies.
The following activities are prohibited on the Site and constitute express violations of these Terms of Use:
- Violates applicable laws (including but not limited to intellectual property laws, laws relating to rights of privacy and rights of publicity and laws related to defamation);
- Contains personal information, except when we expressly ask you to provide such information;
- Contains viruses or malware;
- Offers unauthorized downloads of any copyrighted, confidential or private information;
- Has the effect of impersonating others;
- Contains messages by non-spokesperson employees of RealGemzz purporting to speak on behalf of RealGemzz or provides confidential information concerning RealGemzz
- Contains chain letters of any kind;
- Is purposely inaccurate or constitutes fraud in connection with your redemption of any Offer;
- Is purposely inaccurate, constitutes fraud or falsifies information in connection with your RealGemzz account or to create multiple RefrMyBiz accounts; or
- Is protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right.
Attempting to do or actually doing any of the following:
- Accessing data not intended for you, such as logging into a server or an account which you are not authorized to access;
- Scanning or monitoring the Site for data gathering purposes in an effort to track sales, usage, aggregate offering information, pricing information or similar data;
Scanning or testing the security or configuration of the Site or to breach security or authentication measures; or
- Interfering with service to any user in any manner, including, without limitation, by means of submitting a virus to the Site or attempting to overload, "flood," "spam," "mail bomb" or "crash" the Site.
Using any of the following:
- Frames, framing techniques or framing technology to enclose any content included on the Site without our express written permission;
- Any Site content, including without limitation User Content (defined below), in any meta tags or any other "hidden text" techniques or technologies without our express written permission;
- The Site or any of its contents to advertise or solicit, for any commercial, political or religious purpose or to compete, directly or indirectly, with RealGemzz; or
- The Site or any of its resources to solicit consumers or other third-parties to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with RealGemzz, including, without limitation, aggregating current or previously offered deals.
Collecting any of the following:
- Content from the Site, including, but not limited to, in connection with current or previously available Offers, and featuring such content to consumers in any manner that diverts traffic from the Site without our express written permission; or
Personal Information (defined in our Privacy Statement), User Content (defined in Section 13 below) or content of any consumers.
Engaging in any of the following:
- Tampering or interfering with the proper functioning of any part, page or area of the Site or any functions or services provided by RealGemzz;
- Taking any action that places excessive demand on our services or imposes, or may impose, an unreasonable or disproportionately large load on our servers or other portion of our infrastructure (as determined in our sole discretion);
- Reselling or repurposing your access to the Site or any purchases made through the Site;
- Accessing, monitoring or copying any content from the Site using any "robot," "spider," "scraper" or other automated means or any manual process for any purpose without our express written permission;
- Violating the restrictions in any robot exclusion headers on the Site or bypassing or circumventing other measures employed to prevent or limit access to the Site;
- Aggregating any current or previously available Offer or content or other information from the Site (whether using links or other technical means or physical records associated with redemptions made through the Site) with material from other sites or on a secondary site without our express written permission;
- Deep-linking to any portion of the Site without our express written permission;
Hyperlinking to the Site from any other website without our initial and ongoing consent; or
- Acting illegally or maliciously against the business interests or reputation of RealGemzz, our third-party brands or our services.
We take the privacy of your personal data seriously. We encourage you to carefully review our Privacy Statement for important disclosures about ways that we may collect, use and share personal data and your choices. Our Privacy Statement is incorporated in these Terms of Use
The Site contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound and the entire contents of the Site are protected by copyright, trademark and other intellectual property laws of the United States and Canada. RealGemzz owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. You may not modify, distribute, publish, transmit, publicly display, publicly perform, participate in the transfer or sale, create derivative works or in any way exploit any of the content, in whole or in part. Except as otherwise expressly stated under copyright law, no downloading, copying, redistribution, retransmission, publication or commercial exploitation of the content without the express permission of RealGemzz or the copyright owner is permitted. If downloading, copying, redistribution, retransmission or publication of copyrighted material is permitted, you will make independent attribution and/or make no changes in or deletion of any author attribution, trademark legend or copyright notice. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material. Any violation of these restrictions may result in a copyright, trademark or other intellectual property right infringement that may subject you to civil and/or criminal penalties.
You will not upload, post or otherwise make available on the Site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. RealGemzz does not have any express burden or responsibility to provide you with indications, markings or anything else that may aid you in determining whether the material in question is copyrighted or trademarked. You will be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission.
Other marks on the site not owned by RealGemzz may be under license from the trademark owner thereof, in which case such license is for the exclusive benefit and use RealGemzz unless otherwise stated, or may be the property of their respective owners. You may not use RealGemzz 's name, logos, trademarks or brands without RealGemzz express permission.
We do not accept or consider, directly or through any RealGemzz employee or agent, unsolicited ideas of any kind, including without limitation, ideas or suggestions relating to new or improved products, enhancements, names or technologies, advertising and marketing campaigns, plans or other promotions. Do not send us (or any of our employees) any unsolicited ideas, suggestions, material, images or other work in any form ("Unsolicited Materials"). If you send us Unsolicited Materials, you understand and agree that the following terms will apply, notwithstanding any cover letter or other terms that accompany them:
- RealGemzz has no obligation to review any Unsolicited Materials, nor to keep any Unsolicited Materials confidential; and
- RealGemzz will own, and may use and redistribute, Unsolicited Materials for any purpose without restriction and free of any obligation to acknowledge or compensate you.
RealGemzz reserves the right to terminate your or any third-party’s right to use the Site if such use infringes the copyrights of another. RealGemzz may, under appropriate circumstances and at its discretion, terminate your or any third-party’s right to access to the Site, if RealGemzz determines that you or a third-party is a repeat infringer. If you believe that any material has been posted via the Site by any third-party in a way that constitutes copyright infringement, and you would like to bring it to RealGemzz 's attention, you must provide RealGemzz's DMCA Agent identified below with the following information: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyrighted work; (b) an identification of the copyrighted work and the location on the Site of the allegedly infringing work; (c) a written statement that you have a good faith belief that the disputed use is not authorized by the owner, its agent or the law; (d) your name and contact information, including telephone number and email address; and (e) a statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Notices from us will be considered delivered to you and effective when sent to the email address you provide on the Site or from which you otherwise email us.
The Site contains links to websites maintained by other parties. These links are provided solely as a convenience to you and not because we endorse or have an opinion about the contents on such websites. We expressly disclaim any representations regarding the content or accuracy of materials on such websites or the privacy practices of those websites. If you decide to access websites maintained by other parties, you do so at your own risk. We are not responsible or liable, directly or indirectly, for any damage, loss or liability caused or alleged to be caused by or in connection with any use of or reliance on any content, Products or services available on or through any such linked site or resource.
You agree to defend, indemnify and hold harmless RealGemzz, its subsidiaries and affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of or related to: (a) any Offer redeemed by you through the Site; (b) any User Content submitted or posted by you, in connection with the Site, or any use of the Site in violation of these Terms of Use; (c) fraud you commit or your intentional misconduct or gross negligence; or (d) your violation of any applicable Canadian or foreign law or rights of a third-party.
You are solely responsible for your interactions with any retailer and with all other users of the Site. To the extent permitted under applicable laws, you hereby release RealGemzz from any and all claims or liability related to any product or service referred to in an Offer, any action or inaction by a retailer, including but not limited to any harm caused to you by action or inaction of a retailer, a retailer’s failure to comply with applicable law and any conduct, speech or User Content, whether online or offline, of any other third-party.
RealGemzz shall be excused from performance under these Terms of Use, to the extent it is prevented or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from: (a) weather conditions or other elements of nature or acts of God; (b) acts of war, acts of terrorism, insurrection, riots, civil disorders or rebellion; (c) quarantines or embargoes; (d) labor strikes; (e) error or disruption to major computer hardware or networks or software failures; or (g) other causes beyond the reasonable control of RealGemzz.
You may not assign these Terms of Use, or any rights, benefits or obligations hereunder, by operation of law or otherwise, without the express written permission of RealGemzz. Any attempted assignment that does not comply with these Terms of Use shall be null and void. RealGemzz may assign these Terms of Use, in whole or in part, to any third-party in its sole discretion.
The Terms of Use, including the incorporated Privacy Statement and other terms incorporated by reference, constitutes the entire agreement and understanding between you and RealGemzz with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and RealGemzz with respect to such subject matter.
Any disputes arising out of or related to these Terms of Use and/or any use by you of the Site or RealGemzz's services shall be governed by the laws of the Province of Ontario, without regard to its choice of law rules and without regard to conflicts of laws principles.
No waiver by either you or RealGemzz of any breach or default or failure to exercise any right allowed under these Terms of Use is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under our Terms of Use. The section headings used herein are for convenience only and shall be of no legal force or effect. If a court of competent jurisdiction holds any provision of our Agreement invalid, such invalidity shall not affect the enforceability of any other provisions contained in these Terms of Use, and the remaining portions of our Agreement shall continue in full force and effect.

All offers which are setup from your account are binding and in case the referred person conducts the specified business with your company, you agree to reward the specified amount to the referrer and referee.
The reward and the admin fee ("success fee") will be charged to the provided credit card.
The payment includes a success fee of 10% of the referral reward. The minimum applicable fee is $5.00, which means that a flat fee of $5.00 will be charged whenever the credited referral reward (before taxes) is below $50.00.

RealGemzz uses the 3rd party payment platform, Stripe, the Stripe API, and in conjunction, your Stripe account to process credit and debit card transactions.
By using the Stripe Check Out you agree to be bound by Stripe’s Terms of Service.
You expressly understand and agree that RealGemzz shall not be liable for any payments and monetary transactions that occur through your use of the Service. You expressly understand and agree that all payments and monetary transactions are handled by Stripe. RealGemzz is not liable for loss or damage from errant or invalid transactions processed with Your Stripe account. This includes transactions that were not processed due to a network communication error, or any other reason. You understand and agree to not hold RealGemzz liable for any adverse affects that actions (whether intentional or unintentional) on the part of Stripe may cause to your Stripe account or your business.
You must not process stolen credit cards, or unauthorized credit cards through Stripe.
You are solely responsible for the privacy of the information used to login to your account and RealGemzz is not responsible in any way for misuse of your account or for rewards being granted to the wrong person due to illegal access to your account by individuals using your login information.

Your account is non-transferrable. You cannot sell, combine or otherwise share it with any other person. Any violation of these Terms of Use, including but not limited to failure to maintain updated and correct information about your account, will cause your account to fall out of good standing and as a result, we may cancel your account in our sole discretion. If RealGemzz cancels your account, you may forfeit any pending, current or future balance. Upon termination, the provisions of these Terms of Use that are by their nature intended to survive termination (e.g., any disclaimers, all limitations of liability and all indemnities) shall survive. We also reserve the right to change or discontinue any aspect or feature of our services or the Site, including, but not limited to, requirements for use.
All interactions on the Site must comply with these Terms of Use. To the extent your conduct, in our sole discretion, restricts or inhibits any other user from using or enjoying any part of the Site, we may limit your privileges on the Site and seek other remedies.
The following activities are prohibited on the Site and constitute express violations of these Terms of Use:

- Contains messages by non-spokesperson employees of RealGemzz purporting to speak on behalf of RealGemzz or provides confidential information concerning RealGemzz
- Contains chain letters of any kind;
- Is purposely inaccurate or constitutes fraud in connection with your redemption of any Offer;
- Is purposely inaccurate, constitutes fraud or falsifies information in connection with your RealGemzz account or to create multiple RefrMyBiz accounts; or
- Is protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right.
Attempting to do or actually doing any of the following:
- Accessing data not intended for you, such as logging into a server or an account which you are not authorized to access;
- Scanning or monitoring the Site for data gathering purposes in an effort to track sales, usage, aggregate offering information, pricing information or similar data;
Scanning or testing the security or configuration of the Site or to breach security or authentication measures; or

Collecting any of the following:
- Content from the Site, including, but not limited to, in connection with current or previously available Offers, and featuring such content to consumers in any manner that diverts traffic from the Site without our express written permission; or
Personal Information (defined in our Privacy Statement), User Content (defined in Section 13 below) or content of any consumers.
Engaging in any of the following:
- Tampering or interfering with the proper functioning of any part, page or area of the Site or any functions or services provided by RealGemzz;
- Taking any action that places excessive demand on our services or imposes, or may impose, an unreasonable or disproportionately large load on our servers or other portion of our infrastructure (as determined in our sole discretion);
- Reselling or repurposing your access to the Site or any purchases made through the Site;
- Accessing, monitoring or copying any content from the Site using any "robot," "spider," "scraper" or other automated means or any manual process for any purpose without our express written permission;
- Violating the restrictions in any robot exclusion headers on the Site or bypassing or circumventing other measures employed to prevent or limit access to the Site;
- Aggregating any current or previously available Offer or content or other information from the Site (whether using links or other technical means or physical records associated with redemptions made through the Site) with material from other sites or on a secondary site without our express written permission;
- Deep-linking to any portion of the Site without our express written permission;
Hyperlinking to the Site from any other website without our initial and ongoing consent; or
- Acting illegally or maliciously against the business interests or reputation of RealGemzz, our third-party brands or our services.

RealGemzz maintains commercially reasonable administrative, technical and physical procedures to protect all the personal information regarding you and your customers that is stored in our servers from unauthorized access and accidental loss or modification. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use such personal information for improper purposes. You acknowledge that you provide this personal information regarding you and your customers at your own risk.

You agree to defend, indemnify and hold harmless RealGemzz, its subsidiaries and affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of or related to: (a) any Offer redeemed by you through the Site; (b) any User Content submitted or posted by you, in connection with the Site, or any use of the Site in violation of these Terms of Use; (c) fraud you commit or your intentional misconduct or gross negligence; or (d) your violation of any applicable Canadian or foreign law or rights of a third-party.
You are solely responsible for your interactions with any retailer and with all other users of the Site. To the extent permitted under applicable laws, you hereby release RealGemzz from any and all claims or liability related to any product or service referred to in an Offer, any action or inaction by a retailer, including but not limited to any harm caused to you by action or inaction of a retailer, a retailer’s failure to comply with applicable law and any conduct, speech or User Content, whether online or offline, of any other third-party.
RealGemzz shall be excused from performance under these Terms of Use, to the extent it is prevented or delayed from performing, in whole or in part, as a result of an event or series of events caused by or resulting from: (a) weather conditions or other elements of nature or acts of God; (b) acts of war, acts of terrorism, insurrection, riots, civil disorders or rebellion; (c) quarantines or embargoes; (d) labor strikes; (e) error or disruption to major computer hardware or networks or software failures; or (g) other causes beyond the reasonable control of RealGemzz .

The Terms of Use, including the incorporated Privacy Statement and other terms incorporated by reference, constitutes the entire agreement and understanding between you and ReferMyBiz with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and ReferMyBiz with respect to such subject matter.
Any disputes arising out of or related to these Terms of Use and/or any use by you of the Site or ReferMyBiz's services shall be governed by the laws of the Province of Ontario, without regard to its choice of law rules and without regard to conflicts of laws principles.

RealGemzz.com (hereafter described as "RealGemzz" "Us" "Our" "We") provides the following terms and conditions for "ambassadors".
By using the Site's services through the Site, you agree to these Terms of Use (defined below) and any additional terms applicable to certain programs or features in which you may elect to participate. The Privacy Statement, together with these terms of use and any other terms contained herein or incorporated herein by reference, are collectively referred to as the "Terms of Use." The term "using" also includes any person or entity that accesses or uses the Site with crawlers, robots, data mining or extraction tools or any other functionality.
The terms and conditions of "users" also apply to "ambassadors". By signing up as an ambassador of RealGemzz, you agree to be legally bound by all these conditions. Please read these terms carefully. The registration as an "ambassador" at RealGemzz.com is free of charge.
The "Ambassador program" is an affiliate marketing campaign with the purpose to promote the RealGemzz platform to businesses and convince businesses to sign up for free at www.RealGemzz.com and integrate the "R" button application on their webpage.
Furthermore, RealGemzz also rewards the sign up of new ambassadors by existing members of the ambassadorship program.
The "sign up" of a business is only attributable to the efforts of an ambassador if the business references the unique ambassador code in the business sign up form.
The "sign up" of a new ambassador is only attributable to the efforts of an ambassador if the ambassador references the unique ambassador code in the ambassador sign up form.
A direct compensation of $10 and 5% of the total rewarded revenue of the approved business, which was signed up by the ambassador, over a 12 months period starting from the business sign up date will be credited to the ambassadors RealGemzz account.
An additional 2.5% of the total awarded revenue of the business, which was signed up by the ambassador, over a 12 months period starting from the business sign up date will be credited to the ambassadors RealGemzz account if the business has implemented the "R" button on their homepage.
The term "awarded revenue of a business" stands for the amount of approved and funded rewards for successful referrals of a particular business.
An indirect compensation of 20% of the total ambassador rewards of the ambassador, which was signed up by another ambassador, over a 12 months period, starting from the ambassador sign up date will be credited to the ambassadors RealGemzz account.
The term "ambassador rewards" stands for the amount of credited rewards of the linked ambassador.
The credited rewards can be redeemed via the "Pay Me" feature in the user cockpit.
The available payment methods are PayPal and/or Cheque. RealGemzz will deduct a $2.00 processing fee on cheque payments.
You agree that in case RealGemzz suspects any kind of fraudulent activity, such as self referrals, multiple accounts or fake accounts, RealGemzz has the right to deactivate the respective account at its sole discretion and without advance notice.
You shall indemnify, defend and hold harmless RealGemzz, its officers, directors, employees, agents, invitees, licensees, tenants, attorneys, successors and assigns from any and all claims, suits, demands, actions, losses, damages, costs and expenses of every kind or relating to or arising out of the RealGemzz Ambassadorship Program and this Agreement (including, but not limited to, any breach by you of this Agreement or of any representation, warranty or agreement contained herein).
As a condition to your participation in the RealGemzz Ambassadorship Program, you agree that while you are a RealGemzz ambassador you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a ReferyMyBiz ambassador. Without limiting the foregoing obligation, you agree that as a condition of your participation in the RealGemzz Ambassador you will comply with all applicable laws (federal, state or otherwise) that govern marketing email.
The term of this Agreement will begin with your sign up as an ambassador and can be terminated any time by either party with or without cause, by giving the other party written notice of termination. You are eligible to earn direct or indirect ambassador rewards only on sales of qualifying products that occur during the term.
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion. Modifications may include, for example, changes in the scope of available compensation, schedules, payment procedures, and RealGemzz Ambassadorship Program rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the RealGemzz Ambassadorship Program will constitute binding acceptance of the change.
You and RealGemzz are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on behalf of RealGemzz. The ambassador acknowledges that, except as otherwise stated herein, no income or other taxes or amounts shall be withheld or accrued by RealGemzz for the Affiliate’s benefit on the rewards that are paid and it shall be the ambassadors sole responsibility to remit all applicable taxes thereon if applicable.
In no event shall RealGemzz's be liable to you or to any third party for any indirect, incidental, consequential, punitive or exemplary damages.
This Agreement will be governed by the laws of Canada and the Province of Ontario, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
We may collect and store information about you when you use the Service. We use the information to fulfill your requests, provide the Service’s functionality, improve the Service’s quality, personalize your experience, track usage of the Service, provide feedback to third party businesses that are listed on the Service, display relevant advertising, market the Service, provide customer support, message you, back up our systems and allow for disaster recovery, enhance the security of the Service, and comply with legal obligations.

- Account Information: If you create an account on RealGemzz, we may store and use your full name, email address, zip code, and other information you may provide with your account, such as your gender and birth date. Your first name and last initial, as well as any photo you submit through the registration process, will be publicly displayed as part of your account profile. - Contacts: You can invite your friends to join the Service by providing us with their contact information, or by allowing us to access your contacts from your computer, mobile device, or third party sites to select which friends you want to invite. If you allow us to access your contacts, we may transmit that information to RealGemzz long enough to process your invitations.
- Communications: When you sign up for an account or use certain features, you are opting to receive messages from RealGemzz. If you exchange messages with others through the Service, we may store them in order to process and deliver them, allow you to manage them, and we may review and disclose them in connection with investigations related to the operation and use of the Service. If you are a representative of a business listed on RealGemzz we may contact you, including by phone or email, using the contact information you provide us, make publicly available, or that we have on record for your business.
- Activity: We may store information about your use of the Service, such as your search activity, the pages you view, the date and time of your visit. We also may store information that your computer or mobile device provides to us in connection with your use of the Service, such as your browser type, type of computer or mobile device, browser language, IP address, mobile carrier, phone number, unique device identifier, advertising identifier, location (including geolocation, beacon based location, and GPS location), and requested and referring URLs. You may be able to disallow our use of certain location data through your device or browser settings.

You can close your account by sending an email to info@RealGemzz.com. We will remove your profile, but we may retain information about you for the purposes authorized under this Privacy Policy unless prohibited by law. Please note that users will lose their reward balances if they close their accounts. Businesses will still be obligated to honor and pay for prior awarded referrals.
The Service is intended for general audiences and is not directed to children under 13. We do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has provided us with personal information without parental consent, we take steps to remove such information and terminate the child's account.
